IMPORTANT LEGAL NOTICE
PLEASE READ THESE TERMS OF SERVICE ("TERMS", "TERMS OF SERVICE", "AGREEMENT") CAREFULLY BEFORE USING THE BUILDERS BAZAR PLATFORM ("PLATFORM", "SERVICE", "WEBSITE") OPERATED BY BUILDERS BAZAR ("COMPANY", "WE", "US", "OUR").

BY ACCESSING OR USING THE PLATFORM, YOU ("USER", "YOU", "YOUR") AGREE TO BE BOUND BY THESE TERMS. IF YOU DISAGREE WITH ANY PART OF THESE TERMS, YOU DO NOT HAVE PERMISSION TO ACCESS THE PLATFORM.

1. DEFINITIONS
1.1 "Platform" refers to the website buildersbazar.io, mobile applications, and all related services operated by Builders Bazar.

1.2 "Contractor" means any registered user who creates projects, posts requirements, and procures construction materials through the Platform.

1.3 "Vendor" means any registered manufacturer, supplier, dealer, or service provider who provides quotations and fulfills orders through the Platform.

1.4 "User" collectively refers to Contractors, Vendors, and any other person accessing the Platform.

1.5 "RFQ" (Request for Quotation) means a procurement request posted by a Contractor for construction materials or services.

1.6 "Quote" means a price quotation submitted by a Vendor in response to an RFQ.

1.7 "Purchase Order" or "P.O." means a formal order document generated upon acceptance of a Quote.

1.8 "Transaction" means any business dealing conducted through the Platform between Contractors and Vendors.

1.9 "Content" includes text, images, documents, data, specifications, and any material uploaded to the Platform.

2. ELIGIBILITY AND REGISTRATION
2.1 Eligibility Requirements
To use the Platform, you must:

(a) Be at least 18 years of age;

(b) Be a legally constituted business entity or individual proprietor in India;

(c) Have the legal authority to bind your organization to these Terms;

(d) Possess a valid GSTIN (Goods and Services Tax Identification Number) where applicable;

(e) Not be prohibited from conducting business under any applicable law.

2.2 Registration Process
2.2.1 Users must complete the registration process by providing accurate, current, and complete information including but not limited to:

Company/Business Name
Owner/Authorized Representative Name
Contact Number (Mobile)
Email Address
GSTIN (15-digit)
PAN (Permanent Account Number)
Business Address
Bank Account Details (for Vendors)
2.2.2 Users agree to update their registration information promptly upon any change.

2.2.3 Users are solely responsible for maintaining the confidentiality of their account credentials.

2.3 Vendor Onboarding Fee
2.3.1 Vendors are required to pay a one-time onboarding fee of ₹499 (Four Hundred Ninety-Nine Indian Rupees) plus applicable GST.

2.3.2 This fee is non-refundable except as expressly provided in our Refund Policy.

2.3.3 The onboarding fee covers:

Account verification and approval
Profile setup and configuration
Access to RFQ marketplace
Basic platform features
2.4 Account Verification
2.4.1 All accounts are subject to verification by Builders Bazar.

2.4.2 We reserve the right to request additional documentation including:

Certificate of Incorporation
GST Registration Certificate
PAN Card
Bank Statement or Cancelled Cheque
Authorization Letter
Trade License (where applicable)
2.4.3 Unverified accounts may have restricted access to Platform features.

3. PLATFORM SERVICES
3.1 Service Description
Builders Bazar provides an online B2B marketplace platform that:

(a) Enables Contractors to post material requirements (RFQs);

(b) Enables Vendors to submit competitive quotations;

(c) Facilitates comparison of quotes received;

(d) Generates Purchase Orders upon quote acceptance;

(e) Provides delivery tracking and order management;

(f) Offers analytics, reporting, and procurement tools.

3.2 Intermediary Status
3.2.1 Builders Bazar operates as an INTERMEDIARY PLATFORM as defined under the Information Technology Act, 2000 and Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.

3.2.2 We do not:

Manufacture, stock, or sell any products
Provide any construction materials directly
Employ or represent any Vendor
Guarantee the quality, quantity, or delivery of materials
Assume liability for Transactions between Users
3.2.3 All Transactions are directly between Contractors and Vendors. Builders Bazar is not a party to any contract of sale or supply.

3.3 No Guarantee of Results
3.3.1 We do not guarantee:

Minimum number of RFQs for Vendors
Minimum number of Quotes for Contractors
Acceptance of any Quote
Success of any Transaction
Savings or cost reductions
4. USER OBLIGATIONS AND CONDUCT
4.1 General Obligations
Users shall:

(a) Provide accurate, truthful, and complete information;

(b) Comply with all applicable laws, rules, and regulations;

(c) Maintain professional conduct in all interactions;

(d) Fulfill contractual obligations arising from accepted Transactions;

(e) Respond to communications in a timely manner;

(f) Use the Platform only for legitimate business purposes.

4.2 Prohibited Conduct
Users shall NOT:

(a) Provide false, misleading, or fraudulent information;

(b) Impersonate any person or entity;

(c) Circumvent the Platform to conduct direct Transactions without proper attribution;

(d) Post discriminatory, defamatory, or offensive content;

(e) Engage in price manipulation or anti-competitive practices;

(f) Upload malicious code, viruses, or harmful software;

(g) Scrape, crawl, or harvest data from the Platform;

(h) Attempt to gain unauthorized access to any systems;

(i) Interfere with or disrupt Platform operations;

(j) Use automated systems without express permission;

(k) Violate intellectual property rights of any party;

(l) Engage in money laundering or illegal financial activities.

4.3 Contractor Obligations
Contractors specifically agree to:

(a) Post RFQs only for genuine procurement requirements;

(b) Evaluate Quotes fairly and without discrimination;

(c) Make timely payments as agreed with Vendors;

(d) Accept deliveries and provide proper acknowledgment;

(e) Raise disputes within the specified timeframe.

4.4 Vendor Obligations
Vendors specifically agree to:

(a) Submit accurate and competitive quotations;

(b) Honor quoted prices for the validity period stated;

(c) Fulfill orders as per accepted specifications;

(d) Deliver materials within committed timelines;

(e) Provide invoices and supporting documentation;

(f) Address quality issues and complaints promptly;

(g) Maintain adequate inventory or supply chain capability.

5. TRANSACTIONS AND PAYMENTS
5.1 Transaction Process
5.1.1 The typical Transaction flow is:

Contractor posts RFQ with specifications
Eligible Vendors receive notification
Vendors submit Quotes with pricing and terms
Contractor evaluates and compares Quotes
Contractor accepts preferred Quote
Purchase Order is generated
Vendor fulfills the order
Contractor confirms delivery
Payment is settled between parties
5.2 Direct Payment Model
5.2.1 All payments for goods and services are made DIRECTLY between Contractors and Vendors.

5.2.2 Builders Bazar does NOT:

Collect payments on behalf of Vendors
Hold funds in escrow (except where expressly offered)
Process Transaction payments
Guarantee payment collection
5.2.3 Payment terms are as agreed between Contractor and Vendor.

5.3 Platform Fees (Future)
5.3.1 Builders Bazar reserves the right to introduce:

Transaction fees or commissions
Subscription plans
Premium feature charges
Advertising or listing fees
5.3.2 Any fee changes will be communicated with 30 days advance notice.

5.4 Invoice and Taxation
5.4.1 All prices quoted should clearly indicate:

Base price
GST applicability and rate
Delivery/transportation charges
Loading/unloading charges
Any other applicable charges
5.4.2 Vendors are responsible for issuing proper GST-compliant invoices.

5.4.3 Tax compliance is the sole responsibility of respective Users.

6. INTELLECTUAL PROPERTY
6.1 Platform Ownership
6.1.1 The Platform, including its source code, design, logos, trademarks, and content created by Builders Bazar, is the exclusive property of Builders Bazar.

6.1.2 Users are granted a limited, non-exclusive, non-transferable license to access and use the Platform for intended purposes.

6.2 User Content
6.2.1 Users retain ownership of Content they upload to the Platform.

6.2.2 By uploading Content, Users grant Builders Bazar a worldwide, royalty-free, non-exclusive license to use, display, reproduce, and distribute such Content for Platform operations.

6.2.3 Users represent and warrant that they have all necessary rights to upload and share their Content.

6.3 Trademark Notice
"Builders Bazar", "BB.io", the Builders Bazar logo, and related marks are trademarks of Builders Bazar. Unauthorized use is prohibited.

7. DISCLAIMERS AND LIMITATION OF LIABILITY
7.1 "AS IS" Disclaimer
7.1.1 THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

7.1.2 WE DISCLAIM ALL WARRANTIES INCLUDING:

MERCHANTABILITY
FITNESS FOR A PARTICULAR PURPOSE
NON-INFRINGEMENT
ACCURACY OR COMPLETENESS OF CONTENT
UNINTERRUPTED OR ERROR-FREE SERVICE
7.2 No Liability for Transactions
7.2.1 BUILDERS BAZAR SHALL NOT BE LIABLE FOR:

(a) Quality, quantity, or specifications of materials supplied;

(b) Delayed or failed deliveries;

(c) Payment disputes between Users;

(d) Breach of contract by any User;

(e) Financial losses arising from Transactions;

(f) Damage to property or materials;

(g) Personal injury or death arising from materials supplied;

(h) Consequential, incidental, or punitive damages.

7.3 Limitation of Liability
7.3.1 IN NO EVENT SHALL BUILDERS BAZAR'S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY THE USER TO BUILDERS BAZAR IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

7.3.2 This limitation applies regardless of the theory of liability (contract, tort, strict liability, or otherwise).

7.4 Force Majeure
7.4.1 Neither party shall be liable for delays or failures caused by:

Natural disasters (floods, earthquakes, storms)
War, terrorism, or civil unrest
Government actions or regulations
Pandemics or epidemics
Internet or telecommunications failures
Labor strikes or lockouts
Any other circumstances beyond reasonable control
8. INDEMNIFICATION
8.1 User Indemnification
8.1.1 Users agree to indemnify, defend, and hold harmless Builders Bazar, its directors, officers, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from:

(a) User's violation of these Terms;

(b) User's violation of any applicable law;

(c) User's Content or materials;

(d) Transactions conducted through the Platform;

(e) Disputes with other Users;

(f) Third-party claims related to User's business activities.

9. DISPUTE RESOLUTION
9.1 User-to-User Disputes
9.1.1 Disputes between Contractors and Vendors shall be resolved directly between the parties.

9.1.2 Builders Bazar may, at its discretion, provide mediation assistance but is not obligated to do so.

9.1.3 Builders Bazar's decision in any mediation shall be advisory and non-binding.

9.2 Disputes with Builders Bazar
9.2.1 Any dispute arising out of or relating to these Terms shall be resolved through:

Step 1: Negotiation

Users must first attempt to resolve disputes through direct communication with our support team at support@buildersbazar.io
Step 2: Mediation

If unresolved within 30 days, parties shall attempt mediation through a mutually agreed mediator.
Step 3: Arbitration

If mediation fails, the dispute shall be referred to arbitration under the Arbitration and Conciliation Act, 1996.
The arbitration shall be conducted in English.
The seat of arbitration shall be New Delhi, India.
The arbitrator's award shall be final and binding.
9.3 Governing Law and Jurisdiction
9.3.1 These Terms shall be governed by and construed in accordance with the laws of India.

9.3.2 Subject to the arbitration clause, courts in New Delhi shall have exclusive jurisdiction.

10. TERMINATION
10.1 Termination by User
10.1.1 Users may terminate their account at any time by:

Contacting support@buildersbazar.io
Using the account deactivation option (if available)
10.1.2 Termination does not relieve Users of obligations arising from existing Transactions.

10.2 Termination by Builders Bazar
10.2.1 We may suspend or terminate accounts immediately for:

Violation of these Terms
Fraudulent or illegal activity
Non-payment of fees
Extended inactivity (12+ months)
Court order or legal requirement
Any reason at our sole discretion
10.2.2 Upon termination:

Access to Platform is revoked
User data may be deleted after 90 days
Outstanding obligations remain enforceable
Paid fees are non-refundable unless otherwise stated
10.3 Effect of Termination
10.3.1 Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution shall survive termination.

11. MODIFICATIONS TO TERMS
11.1 Right to Modify
11.1.1 Builders Bazar reserves the right to modify these Terms at any time.

11.1.2 Material changes will be notified through:

Email notification
Platform announcement
Website banner
11.1.3 Changes take effect 15 days after notification unless otherwise specified.

11.2 Continued Use
11.2.1 Continued use of the Platform after changes constitutes acceptance of modified Terms.

11.2.2 Users who disagree with changes must discontinue use and terminate their account.

12. MISCELLANEOUS PROVISIONS
12.1 Entire Agreement
These Terms, together with the Privacy Policy, Refund Policy, and any other policies referenced herein, constitute the entire agreement between Users and Builders Bazar.

12.2 Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.

12.3 Waiver
Failure to enforce any provision shall not constitute a waiver of that provision or any other provision.

12.4 Assignment
Users may not assign their rights or obligations under these Terms without prior written consent. Builders Bazar may assign its rights freely.

12.5 No Partnership
Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between Users and Builders Bazar.

12.6 Language
These Terms are drafted in English. In case of any translation, the English version shall prevail.

14. ACKNOWLEDGMENT
BY CLICKING "I AGREE", "REGISTER", "SIGN UP", OR BY USING THE PLATFORM, YOU ACKNOWLEDGE THAT:

You have read and understood these Terms of Service;
You agree to be legally bound by these Terms;
You have the authority to bind your organization;
You consent to electronic communications and transactions.
